Prepare resolutions and minutes of directors’ and shareholders’ meetings.
Support customer due diligence (onboarding and ongoing monitoring).
Assist with company incorporation, registration of foreign entities and other corporate secretarial matters. (Knowledge and understanding of VCC is a bonus).
Maintain statutory registers, including the Register of Controllers, Nominee Directors, Nominee Shareholders and Minute Books
Assist in company formation, annual compliance requirements and ongoing corporate administration.
Prepare and file statutory returns with the Accounting and Corporate Regulatory Authority (ACRA).
E-stamp transfer forms with the Inland Revenue Authority of Singapore (IRAS).
Staying updated on relevant developments and changes in statutory and regulatory requirements.
Ensure adherence to statutory reporting requirements stipulated in the Companies Act
Work on other incidental work as assigned from time to time.
Requirements :
Diploma / degree in relevant discipline.
Good writing and communication skills.
Good organisational and interpersonal skills.
Sound knowledge of the Companies Act and subsidiary legislations.
Able to work independently and work under tight deadlines.
Good problem-solving skills.
Pro-active, positive attitude, good team player.
Flexible and adaptable in various working styles.
Additional advantage :
1 – 3 years of experience preferred.
Experience with offshore jurisdictions such as BVI and the Cayman Islands.
Holding, or currently pursuing, corporate secretarial qualification.
