Job Description
Responsible for full spectrum of corporate secretariat responsibilities for the listed company and its group of companies including the following : -
Oversee the full spectrum of corporate secretarial responsibilities for the Singapore-listed company (“Listco”) and its group of companies operating across multiple jurisdictions.
Serve as Joint Company Secretary for the Listco’s subsidiaries.
Prepare board and shareholders’ resolutions, meeting agendas, and minutes.
Plan, coordinate, and attend Board and Board Committee meetings, Board strategy workshops, Annual General Meetings (AGMs), and Extraordinary General Meetings (EGMs) of the Listco and its subsidiaries.
Assist in the preparation and dissemination of shareholder communications, including notices, circulars, annual reports, and corporate governance disclosures.
Draft and release announcements and regulatory disclosures to the Singapore Exchange (SGX).
Ensure compliance with the Companies Act, SGX Listing Rules, the Securities and Futures Act (SFA), and other applicable regulatory requirements.
Collaborate with internal teams and external advisers on mergers and acquisitions, investments, divestments, and fundraising activities.
Implement and uphold corporate and board policies and practices to strengthen governance and reporting processes, including through the use of board portals and leadership collaboration platforms.
Provide guidance to internal stakeholders on corporate secretarial matters, governance standards, and adherence to the Listco’s corporate policies.
Maintain and update statutory registers and records, and handle filings with relevant authorities.
Assist and support the Company Secretary in the execution of all other corporate secretarial duties as may be assigned from time to time.
Responsible for budget planning and policy formulation, career development and mentorship of team members, as well as contributing to the medium-term strategic planning of the function.
Requirements
Minimum of 7 years of relevant experience, including prior experience with Singapore-listed companies and a proven track record of leading teams.
Demonstrated ability to lead and manage a team through comprehensive professional knowledge across all areas within the relevant function.
Possess practical experience across multiple functional areas or deep expertise in a specialised discipline.
Strong analytical skills with the ability to identify problems and evaluate complex issues, leading to the enhancement, adaptation, or transformation of existing processes and methodologies.
Capable of providing third-tier management oversight to one or more teams within a functional unit, comprising professionals, technical staff, and administrative personnel.
