This Role :
We are looking for Nominee Directors to join our Compliance panel in Singapore.
Responsibilities :
- Be the Nominee Director on ACRA record for the clients assigned
- Serve the statutory duty of signing board resolutions for all reasonable and lawful directions given by each client as validated and executed by Counto CorpSec team. Sign documents raised within 24 hrs or raise queries for information as needed
- Maintain your residence in Singapore and keep us up to date on any upcoming plans on change of residency including within Singapore
- Maintain a clean public record and not commit any act or omission that shall disqualify one from being a director under the Companies Act
- Act honestly and in good faith, to avoid conflict of interest, exercise care, skill and diligence and not misuse powers and information on behalf of any client
- Use your best efforts to comply and act in accordance with your legal obligations and duties as a nominee director at all times
- Be attentive to any compliance notifications from regulatory authorities, work with client and the Counto team to resolve any issues and apply suitable challenge
- Occasionally attend a physical board meeting if the foreign directors of the client company are in town and request one.
- Occasionally attend a physical meeting with representatives of traditional banks (UOB, OCBC, DBC, SCB, etc) should the client need to open a bank account
Requirements :
