Roles & Responsibilities

Responsibilities

  • Ensure that the Company comply with Companies’ Act
  • Prepare and review directors’ resolutions, shareholders’ resolutions and other corporate secretarial papers to ensure compliance with all applicable statutory requirements
  • Manage the operations and full spectrum of corporate secretarial duties including company incorporation, registration of foreign branches & representative offices (where applicable), striking-off of companies, preparation of directors’ / shareholders’ resolutions for on-going corporate secretarial matters for clients, etc.
  • Support the Board administratively and advise the Board Directors on their statutory obligations
  • Ensure timely and accurate disclosure of information to shareholders and other relevant parties, such as managing the Board meeting / AGM agenda, coordinating with shareholders, managing voting procedures, etc
  • Drafting of minutes of Board / AGM meetings and business performance reviews as directed
  • File and lodge e-forms with ACRA or e-stamping forms with IRAS as required
  • Track, monitor records, update and maintain statutory and corporate records required by the Companies’ Act
  • Review and update corporate secretarial processes and policies to stay updated on relevant developments and changes in statutory and regulatory obligations
  • Perform any other related duties as assigned

Requirements

  • Resident of Singapore
  • Member of the Singapore Association of the Institute of Chartered Secretaries and Administrators (SAICSA)
  • Min 5 years’ experience in company secretarial work in non-life re / insurance organizations
  • Actual job title offered will commensurate with the final candidate’s experience level
  • Conversant with Companies Act, Statutory Regulations, Memorandum and Articles of Association and Shareholders’ Agreements
  • Familiar with the local regulatory landscape particularly statutory regulations set out by MAS for Financial Institutes
  • A team player, organized, detailed-oriented, versatile and good interpersonal skills
  • Able to muti-task and prioritise work
  • Mature professional who has excellent stakeholder skills
  • Proficiency in MS Office applications such as Microsoft Excel, Word, Outlook, PowerPoint
