Roles & Responsibilities

Position Overview

We are recruiting for an Assistant Manager level Corporate Secretary position to be seconded to a Private Equity firm. This role offers an excellent opportunity to work directly within a dynamic PE environment while being employed by our client, a leading professional services firm. The position focuses on deal processing and portfolio company management across multiple jurisdictions.

Key Responsibilities

  • Support PE fund deal lifecycle from due diligence through closing and post-acquisition integration
  • Coordinate corporate secretarial aspects of acquisitions, disposals, and restructuring transactions
  • Manage entity structures across multiple jurisdictions
  • Prepare and review transaction documents, board resolutions, and corporate authorizations
  • Liaise with external counsel, auditors, and service providers on deal-related matters
  • Manage corporate secretarial affairs across APAC jurisdictions
  • Organize and coordinate board meetings, including preparation of board packs and minutes
  • Ensure compliance with statutory and regulatory requirements across multiple jurisdictions
  • Handle statutory filings, corporate registrations, and regulatory notifications
  • Maintain accurate corporate records and data management systems

Requirements

Experience :

  • Minimum 5-7 years corporate secretarial experience, preferably in financial services
  • Prior exposure to private equity, asset management, or fund administration
  • Experience with multi-jurisdictional entity management (Singapore, Hong Kong, BVI, Cayman Islands preferred)
  • Qualifications :

  • Diploma in Law and Management or related field
  • Professional qualifications in corporate governance (ICSA, ACIS) preferred or in progress
  • Strong knowledge of Singapore Companies Act and regional corporate laws
  • Technical Skills :

  • Proficiency in corporate secretarial software
  • Strong Microsoft Office skills
  • Experience with document management systems
