Key
Responsibilities : 1. The
incumbent will be responsible for all company secretarial matters
relating to a portfolio of clients.
2. The scope
of work include handle full spectrum of corporate secretarial
duties including company incorporations, registration of foreign
branches & representative offices, striking-off of companies,
preparation of directors' / shareholders' resolutions for on-going
corporate secretarial matters for clients, application of
employment passes, opening bank accounts and change of signatories,
etc.
3. Maintenance of statutory registers and
submission of statutory returns to ACRA.
4.
Ensure compliance with relevant statutory and regulatory
requirements by both the company and clients.
5.
Assist in application of 13O for Fund
Company.
6. Act as Qualified Individual (QI) for
the company.
7. Act as advisor to client for
corporate secretarial matters.
8. Other
corporate or ad-hoc duties as
required.
Key
Competencies : 1. Possesses
Degree / Diploma in Business Administration or Law. ACIS qualified
with relevant experience, as appropriate.
2.
Conversant with corporate secretarial practices especially in the
areas of funds and special purpose vehicles.
3.
Conversant with the Singapore Companies Act and the Variable
Capital Companies Act as appropriate.
4.
Experience in handling fund administration will be
advantageous.
5. Good interpersonal,
communication, written and customer service
skills.
6. Meticulous, detail and deadline
oriented.
7. Positive working attitude,
pro-active and able to work independently.
