Job Scope工作职责 :

Responsible for overseeing all legal matters of the company, and provide comprehensive legal support to the management by :

Ø Draft and view English contracts proficiently, especially licensing agreements, supply agreements, etc.

熟练编写英文合同，尤其擅长许可授权协议、供应协议等

Ø Provide senior management legal advice on strategic decisions

为高级管理层提供战略决策方面的法律建议

Ø Understand the objectives of the business and effectively communicate with the management the potential legal risks and issues involved in company's daily operations and decision-making processed

了解公司业务目标，并有效地与管理层沟通公司日常运营和决策过程中涉及的潜在法律风险和问题

Ø Advice on regulatory compliance, corporate governance, and risk management

有关监管合规、公司治理和风险管理的建议

Ø Assist to establish company's internal risk prevention / management framework and procedures

协助建立公司内部风险预防 / 管理框架和程序

Ø Effectively negotiate the terms of the English agreement with the counterparties

和对手方公司就英文协议条款的谈判

Ø Offer legal solutions that are suitable for the company’s each project needs

提供符合公司各项目需要的法律解决方案

Ø In case of a possible legal dispute, understand the pressure points, suggest strategical advice to the management to win the case

在可能出现法律纠纷的情况下，了解压力点，并向管理层提供战略建议以赢得纠纷

Ø Prepare board / shareholder meeting minutes, create English records, and urge all signatories to sign

整理董事会 / 股东会纪要，形成英文记录并敦促各签字方签字

Ø Coordinate with external law firms regarding contract drafting and serve as a liaison for the company's external law firms

协调外部律所有关合同撰写、作为公司合作外部律所的对接人

Ø Coordinate other contractual affairs

协调其他合同事务

Ø Maintain and update legal documents, ensuring accuracy and completeness.

维护和更新法律相关文档，确保其准确性和完整性。

Ø Liaise with HQ in China and affiliated companies in U.S. and Europe, to ensure alignment and seamless workflows of legal matters

与中国总部以及美国和欧洲的关联公司对接，以确保法律事务工作流程的一致性和无缝衔接。

Ø Perform Any other legal related work assigned by the superior and management.

Requirements要求 :

Ø Minimum Bachelor's Degree or other equivalent professional qualifications; Certification in law or related areas is preferred.

至少拥有学士学位或其他同等专业资格；具有法律或相关领域证书者优先。

Ø Has passed Singapore Bar.

已通过新加坡律师资格考试。

Ø Familiarity with Singapore local laws and regulations, especially those related to trading transactions, as well as local company compliance.

熟悉新加坡法律法规，特别是与贸易交易相关的法律法规以及当地公司合规性。

Ø Strong knowledge of international trading contract clauses.

对国际贸易合同条款有深入的了解。

Ø Good command of writing and speaking in both Mandarin and English is a must .

Ø Proven experience(5 years+ relevant experiences), especially in contract negotiations.

Ø Proficient in Microsoft Office software (Word, Excel, PowerPoint).

Ø Excellent analytical, problem-solving skills; Strong presentation and communication skills, ability to interact confidently with senior management and various stakeholders.

Ø Good Logic, meticulous and well-organised; Strong time management skills.
