Senior Legal Counsel / Legal Director

Roles & Responsibilities

We are seeking an experienced and forward-thinking Senior Legal Counsel or Legal Director to join our Singapore office. This role is ideal for a legal professional with a proven track record in leading teams, managing cross-border M&A transactions, and operating in a high-growth, fast-paced environment. Experience in a U.S.-listed company or a top-tier international law firm is highly valued.

Key Responsibilities :

• Provide legal advice and support across a broad range of areas, including corporate governance, business operations, and commercial transactions.
• Lead and manage cross-border M&A transactions, including legal due diligence, transaction structuring, contract drafting, and negotiations.
• Advise on U.S. capital markets compliance matters, including SEC filings, disclosure obligations, and shareholder communications.
• Draft, review, and negotiate key business agreements and vendor contracts.
• Work closely with external counsel and effectively manage legal budgets.
• Collaborate with cross-functional teams across departments and regions to ensure legal support aligns with business objectives.
• Mentor junior legal staff and, where applicable, lead and develop a small legal team.
• Assist in enhancing and maintaining internal compliance programs, including those related to anti-bribery, data protection, sanctions, and export controls.
