Roles & Responsibilities
Job Purpose :
An experienced professional who can manage the company secretarial matters in support of the business and its operating entities globally.
Key Responsibilities :
- Overseeing and discharging the full spectrum of company secretarial matters and duties for COFCO International and its subsidiaries worldwide.
- Monitor and ensure compliance with the Companies Act, the Companies Ordinance requirements and all other relevant statutory and regulatory matters as well as issues of corporate governance, including but not limited to UBO and Economic Substance reporting, in all jurisdictions.
- Liaise with external legal counsels and corporate secretarial service providers in the operating locations.
- Support and prepare for board and board committees meetings, and prepare all relevant documents.
- Maintaining statutory registers, including records in Legisway Essentials and SharePoint.
- Collaborate with regional / local Business, Finance and Legal teams to ensure that group policies are adhered to and regulatory requirements are complied with.
- Coach and guide company secretarial team members and other stakeholders in corporate governance
- Support business units on KYC requests
- Undertake and / or assist with ad hoc assignment or projects as directed by the Company.
Education :
CSIS qualified Chartered Secretary; orDegree holder preferably with a legal qualificationExperience :
Minimum 10 years or more relevant experience gained in large international companies or professional firms.Sound knowledge of corporate secretarial regulations and laws, practical knowledge of corporate governance and listing rules in Singapore, Companies Ordinance requirements and all other relevant statutory and regulatory matters as well as issues of corporate governanceSkills :
Flexible and willing to learn, good team player, self – motivated with a strong sense of responsibilityAbility to organize and prioritize work effectivelyMulti-tasking and able to work under pressure and within tight scheduleExcellent communication and interpersonal skillsExcellent written communication skills in English is imperative.Required to liaise and collaborate with colleagues based in China, fluency in business mandarin is essential.Tell employers what skills you have
